Artist Participation & Listing Agreement

Standardized Definitions
Artist
A participating independent creative professional accepted into Lit Artist Collective.
Applicant
An individual who has submitted an application but has not yet been accepted.
Artwork
Any original visual artwork submitted by an Artist, including paintings, drawings, illustrations, sculptures, mixed media, digital artwork, photography, prints, or similar creative works.
Creator Content
Original videos, photographs, interviews, behind-the-scenes recordings, studio footage, voice recordings, timelapses, thumbnails, reels, shorts, promotional media, or related content submitted by an Artist.
Collector
A person or entity browsing, purchasing, commissioning, or otherwise inquiring about Artwork directly from an Artist.
Website
The Lit Artist Collective website and all associated pages, applications, services, and digital properties.
Platform
Lit Artist Collective as an organization, including its Website, creator program, promotional initiatives, social media channels, educational resources, and related services.
Shop Gallery
The online gallery maintained by Lit Artist Collective that showcases Artwork submitted by participating Artists.
This Artist Participation & Listing Agreement ("Agreement") governs the relationship between Lit Artist Collective ("Lit Artist Collective," "we," "our," or "us") and each accepted participating Artist ("Artist," "you," or "your").
By accepting an invitation to participate, creating an Artist profile, submitting Artwork, listing Artwork on the Website, participating in creator programs, or otherwise using Artist-specific features of the Website, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Purpose
Lit Artist Collective is a curated platform dedicated to promoting independent Artists through professional Artist profiles, original Artwork, educational resources, creator content, and promotional opportunities.
The purpose of this Agreement is to define the rights, responsibilities, and expectations governing participation in Lit Artist Collective while preserving the Artist's ownership of their creative work and independence.
2. Eligibility
To participate in Lit Artist Collective, you represent and warrant that:
You are at least eighteen (18) years of age or otherwise legally capable of entering into a binding agreement.
You own or control all rights necessary to submit Artwork and related materials.
Information provided during your application is truthful and current.
You have the authority to grant the licenses described in this Agreement.
Lit Artist Collective may request additional information before approving participation.
Participation is subject to approval and is not guaranteed.
3. Acceptance into the Collective
Submission of an application does not create a contractual relationship.
Applications are reviewed individually based on factors including, but not limited to:
Artistic quality
Originality
Portfolio consistency
Professional communication
Creative presentation
Alignment with the mission of Lit Artist Collective
Acceptance, denial, suspension, or removal of participation remains solely at the discretion of Lit Artist Collective.
4. Independent Artist Relationship
Participation in Lit Artist Collective does not create an employment relationship, partnership, agency, franchise, joint venture, or exclusive representation.
Artists remain independent creative professionals and retain complete control over their own artistic practice, business decisions, pricing, and client relationships.
Nothing in this Agreement shall be interpreted as limiting an Artist's ability to create, exhibit, promote, or sell Artwork through galleries, personal websites, social media, marketplaces, exhibitions, or any other platform.
5. Artist Profiles
Artists authorize Lit Artist Collective to create and maintain an Artist profile using information voluntarily provided by the Artist.
Profiles may include:
Artist name
Biography
Artist statement
Portfolio images
Resume or CV
Awards
Exhibitions
Social media accounts
Website links
Contact information designated for public display
Artists are responsible for maintaining accurate information and notifying Lit Artist Collective of significant changes.
6. Artwork Listings
Artists may submit Artwork for inclusion within the Shop Gallery or other promotional areas of the Website.
For each listing, Artists are responsible for providing accurate:

Availability
Images
Artists agree to notify Lit Artist Collective within a reasonable period if listed Artwork becomes unavailable or materially changes.
Lit Artist Collective reserves the right to decline, edit for formatting, temporarily hide, or remove Artwork listings that do not meet platform standards or violate this Agreement.
7. Ownership & License
Ownership
Artists retain all ownership, copyright, trademark, and other intellectual property rights in their original Artwork.
Nothing in this Agreement transfers ownership of Artwork to Lit Artist Collective.
License to Display Artwork
By voluntarily submitting Artwork to Lit Artist Collective, the Artist grants Lit Artist Collective a non-exclusive, worldwide, royalty-free, revocable license to:
Display Artwork on the Website.
Display Artwork on Artist profile pages.
Feature Artwork within the Shop Gallery.
Include Artwork in newsletters.
Share Artwork across Lit Artist Collective's social media channels.
Display Artwork in promotional campaigns.
Resize, crop, or optimize Artwork for Website presentation.
Archive previously published promotional content.
This license exists solely for operating, promoting, and marketing Lit Artist Collective and the Artist's participation.
Ownership of all Artwork remains with the Artist at all times.
8. Sales & Transactions
Lit Artist Collective is a promotional platform and is not the seller of Artwork.
Artists remain solely responsible for:
Pricing
Payment collection
Sales tax compliance
Shipping
Packaging
Insurance
Customer service
Refunds
Exchanges
Delivery
Commission agreements entered into independently by the Artist
Collectors purchase Artwork directly from Artists.
Lit Artist Collective does not process payments, facilitate shipping, guarantee sales, negotiate transactions, or assume responsibility for agreements between Artists and Collectors.
9. Platform Philosophy
Lit Artist Collective exists to promote independent Artists while preserving their creative independence.
Except where expressly stated in a separate written agreement, Artists retain ownership of their Artwork, establish their own pricing, communicate directly with prospective Collectors, and independently determine whether to accept commissions or sales opportunities.
Participation in Lit Artist Collective is non-exclusive.
Artists remain free to exhibit, market, license, sell, or promote their Artwork through any gallery, marketplace, website, social media platform, exhibition, or other sales channel.
Participation is intended to complement an Artist's existing creative practice by providing additional visibility, promotional opportunities, and direct connections with Collectors.
10. Creator Program
Participation in Lit Artist Collective's creator program is voluntary.
Artists who participate may be invited to submit original Creator Content documenting their creative process for promotional media, educational content, Website features, and related projects.
Artists retain ownership of their original Creator Content.
Rights granted to Lit Artist Collective regarding Creator Content are governed exclusively by the separate Video Release Agreement.
Participation in the creator program does not guarantee future collaborations, project invitations, or paid opportunities.
11. Compensation
Participation in Lit Artist Collective as a featured Artist does not, by itself, create any entitlement to compensation.
Compensation may be offered for specific creator-content projects, promotional campaigns, educational initiatives, sponsored collaborations, or other opportunities at the sole discretion of Lit Artist Collective.
Where compensation is offered, the amount, deliverables, payment schedule, and project requirements will be communicated separately.
Unless otherwise agreed in writing:
Payment is made only for approved deliverables.
Artists are responsible for providing accurate payment information.
Artists are responsible for all applicable taxes associated with payments received.
Participation in one paid project does not guarantee future paid opportunities.
Compensation relates only to the specific project for which payment is offered and does not transfer ownership of Artwork or Creator Content except as expressly provided in the applicable agreement.
12. Artist Responsibilities
Artists agree to:
Maintain accurate profile information.
Submit only original Artwork or content for which they possess the necessary rights.
Communicate professionally with Collectors.
Update Artwork availability promptly.
Comply with applicable laws.
Respect the intellectual property rights of others.
Conduct themselves professionally while representing Lit Artist Collective.
13. Artist Representations & Warranties
The Artist represents and warrants that:
Submitted Artwork is original or properly licensed.
Submitted materials do not infringe the rights of any third party.
Information provided to Lit Artist Collective is accurate.
The Artist possesses all rights necessary to grant the licenses contained in this Agreement.
The Artist agrees to indemnify and hold harmless Lit Artist Collective from claims arising from breaches of these representations.
14. Suspension & Termination
Either party may terminate participation at any time.
Lit Artist Collective may suspend or terminate participation immediately if an Artist:
Violates this Agreement.
Engages in fraudulent or deceptive conduct.
Infringes intellectual property rights.
Repeatedly fails to fulfill commitments to Collectors.
Engages in conduct that materially harms Lit Artist Collective or its community.
Termination shall not affect licenses previously granted for promotional materials already published or Creator Content governed by the Video Release Agreement, except where otherwise required by law.
15. Limitation of Liability
To the fullest extent permitted by law, Lit Artist Collective shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from participation in the platform.
Lit Artist Collective shall not be responsible for:
Lost sales
Lost profits
Shipping disputes
Customer disagreements
Artwork damage during shipping
Third-party platform outages
Missed business opportunities
16. General Provisions
Entire Agreement
This Agreement, together with the Terms & Conditions, Privacy Policy, and where applicable, the Video Release Agreement, constitutes the complete agreement between the parties regarding Artist participation.
Severability
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Failure to enforce any provision shall not constitute a waiver of future enforcement.
Assignment
Artists may not assign this Agreement without prior written consent.
Lit Artist Collective may assign this Agreement in connection with a merger, acquisition, or transfer of substantially all of its assets.
Force Majeure
Neither party shall be liable for delays or failures caused by events beyond their reasonable control.
Governing Law
This Agreement shall be governed by the laws of the State of Florida.

Collector

Platform
Lit Artist Collective as an organization, including its Website, creator program, promotional initiatives, social media channels, educational resources, and related services.
Shop Gallery
The online gallery maintained by Lit Artist Collective that showcases Artwork submitted by participating Artists.
This Creator Content & Video Release Agreement ("Agreement") is entered into between Lit Artist Collective ("Lit Artist Collective," "we," "our," or "us") and the participating Artist ("Artist," "you," or "your").
This Agreement governs the submission, licensing, use, editing, publication, and distribution of Creator Content voluntarily provided by the Artist in connection with Lit Artist Collective's creator program.
By submitting Creator Content to Lit Artist Collective, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Purpose
The purpose of this Agreement is to establish the rights and responsibilities of both parties regarding Creator Content submitted to Lit Artist Collective.
Lit Artist Collective showcases Artists by producing and distributing engaging content that highlights the creative process behind original Artwork. This Agreement grants Lit Artist Collective the rights necessary to edit, publish, and promote Creator Content while preserving the Artist's ownership of their original work.
2. Definitions
For purposes of this Agreement:
"Artist" means the individual submitting Creator Content.
"Artwork" means the original creative work created by the Artist.
"Creator Content" means all original videos, recordings, photographs, behind-the-scenes footage, studio recordings, interviews, voice recordings, still images, timelapses, reels, shorts, thumbnails, and other media voluntarily submitted by the Artist.
"Published Content" means any edited or finished content created by Lit Artist Collective using Creator Content.
"Platform" means the Lit Artist Collective website and any authorized distribution channel.
3. Ownership of Artwork
The Artist retains all ownership, copyright, trademark, and intellectual property rights in their Artwork.
Nothing contained in this Agreement transfers ownership of Artwork to Lit Artist Collective.
4. Ownership of Creator Content
The Artist retains ownership of all original Creator Content submitted under this Agreement.
Ownership of the original files remains with the Artist at all times.
Nothing contained in this Agreement transfers copyright ownership of the original Creator Content to Lit Artist Collective.
5. License Granted to Lit Artist Collective
The Artist grants Lit Artist Collective a non-exclusive, worldwide, perpetual, royalty-free, transferable license to use submitted Creator Content solely for the purposes described in this Agreement.
This license includes the right to:
Edit, trim, crop, resize, enhance, or reformat Creator Content.
Add graphics, music, captions, subtitles, voiceovers, narration, transitions, animations, or visual effects.
Combine Creator Content with other media.
Create short-form and long-form videos.
Produce promotional trailers, highlight reels, educational content, advertisements, and social media posts.
Publish, reproduce, distribute, publicly display, and archive Published Content.
Adapt Creator Content for new formats or technologies that may become available in the future.
This license does not transfer ownership of the original Creator Content.
6. Editorial Discretion
The Artist acknowledges that Lit Artist Collective has sole editorial discretion over Published Content.
This includes decisions regarding:
Editing
Sequence
Length
Music
Graphics
Captions
Titles
Thumbnails
Descriptions
Branding
Publication schedule
Distribution channels
Lit Artist Collective is not obligated to publish any submitted Creator Content.
7. Distribution & Promotion
Published Content may be displayed or distributed through:
The Lit Artist Collective website
YouTube
Instagram
Facebook
TikTok
LinkedIn
Pinterest
Email newsletters
Digital advertising
Press materials
Future platforms owned or operated by Lit Artist Collective
8. Artist Credit
Lit Artist Collective will make commercially reasonable efforts to credit the Artist whenever Published Content is displayed.
Credit may include:
Artist name
Website
Portfolio
Instagram
Other approved social media links
Failure to include credit in a particular publication shall not constitute a breach of this Agreement.
9. Compensation
Compensation for Creator Content is determined on a project-by-project basis.
Payment terms, approved deliverables, and compensation amounts will be communicated separately before work begins.
Unless otherwise agreed in writing:
Payment is made only for approved Creator Content.
Payment is provided in exchange for the license granted under this Agreement.
Payment does not transfer ownership of Artwork or Creator Content.
Artists remain responsible for all applicable taxes associated with payments received.
Participation in one paid project does not guarantee future paid opportunities.
10. Artist Warranties
The Artist represents and warrants that:
Creator Content is original or the Artist possesses all necessary rights to submit it.
Submission of Creator Content does not infringe the rights of any third party.
Creator Content does not knowingly contain unlawful, defamatory, or infringing material.
Any identifiable individuals appearing in Creator Content have provided any permissions required by applicable law.
11. Content Standards
Creator Content must not include:
Illegal activity.
Hate speech or discriminatory content.
Pornographic or sexually explicit material.
Gratuitous violence or graphic content.
Content that infringes another person's intellectual property rights.
Misleading or fraudulent representations.
Lit Artist Collective reserves the right to reject Creator Content that does not align with its editorial standards or community values.
12. Limited Non-Exclusivity
This Agreement is non-exclusive.
The Artist remains free to publish, license, or otherwise use their original Creator Content elsewhere.
However, the Artist agrees not to grant exclusive rights to another party that would prevent Lit Artist Collective from exercising the license granted under this Agreement with respect to Creator Content already accepted and licensed.
13. Removal Requests
An Artist may request that future use of unpublished Creator Content cease by providing written notice to Lit Artist Collective.
Lit Artist Collective will make commercially reasonable efforts to honor such requests for unpublished materials.
Published Content, promotional materials, social media posts, marketing campaigns, archived publications, or other content already created or distributed under this Agreement may remain in use in accordance with the license granted herein.
14. Termination
Either party may terminate future participation in the creator program by providing written notice.
Termination does not revoke licenses previously granted for Creator Content already accepted and used under this Agreement unless otherwise agreed in writing.
15. Limitation of Liability
To the fullest extent permitted by law, Lit Artist Collective shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from participation in the creator program or the use of Creator Content as permitted by this Agreement.
16. General Provisions
Entire Agreement
This Agreement constitutes the complete agreement between the parties regarding Creator Content and supersedes any prior discussions relating to its subject matter.
Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision.
Assignment
The Artist may not assign this Agreement without the prior written consent of Lit Artist Collective.
Lit Artist Collective may assign this Agreement in connection with a merger, acquisition, reorganization, or transfer of substantially all of its assets.
Force Majeure
Neither party shall be liable for delays or failures resulting from events beyond their reasonable control.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
17. Electronic Acceptance
The parties agree that electronic signatures, electronic acknowledgments, and acceptance through an online onboarding process or digital platform shall have the same legal effect as handwritten signatures to the fullest extent permitted by applicable law.
