These Terms & Conditions ("Terms") govern your access to and use of the Lit Artist Collective website ("Website"), including all artist profiles, artwork listings, creative content, videos, applications, Shop Gallery listings, and related services provided through the Website.
By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Website immediately.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Lit Artist Collective regarding your use of the Website.
Your continued access to or use of the Website signifies your acceptance of these Terms and any policies or agreements incorporated herein by reference.
Lit Artist Collective reserves the right to modify or update these Terms at any time. Revised Terms become effective immediately upon publication. Your continued use of the Website following any revision constitutes acceptance of the updated Terms.
2. Definitions
For purposes of these Terms, the following definitions apply:
Standardized Definitions
Artist
A participating independent creative professional accepted into Lit Artist Collective.
Applicant
An individual who has submitted an application but has not yet been accepted.
Artwork
Any original visual artwork submitted by an Artist, including paintings, drawings, illustrations, sculptures, mixed media, digital artwork, photography, prints, or similar creative works.
Creator Content
Original videos, photographs, interviews, behind-the-scenes recordings, studio footage, voice recordings, timelapses, thumbnails, reels, shorts, promotional media, or related content submitted by an Artist.
Collector
A person or entity browsing, purchasing, commissioning, or otherwise inquiring about Artwork directly from an Artist.
Website
The Lit Artist Collective website and all associated pages, applications, services, and digital properties.
Platform
Lit Artist Collective as an organization, including its Website, creator program, promotional initiatives, social media channels, educational resources, and related services.
Shop Gallery
The online gallery maintained by Lit Artist Collective that showcases Artwork submitted by participating Artists.
3. About Lit Artist Collective
Lit Artist Collective is a curated platform dedicated to showcasing independent artists through original Artwork, Artist profiles, and Creator Content.
Our mission is to help Artists expand their visibility by highlighting both their finished work and the creative process behind it while connecting Collectors directly with independent Artists.
The Website may include, without limitation:
Artist profiles
Original Artwork
Shop Gallery listings
Creator Content
Educational resources
Artist interviews
Community features
Creative opportunities
Unless expressly stated otherwise, Lit Artist Collective does not purchase, consign, broker, own, or sell Artwork displayed on the Website.
4. Website Use
You may access and use the Website solely for lawful purposes and in accordance with these Terms.
You agree that you will not:
Violate any applicable law or regulation.
Attempt to gain unauthorized access to any portion of the Website or its supporting systems.
Upload malicious software or code.
Copy, reproduce, distribute, modify, scrape, harvest, or commercially exploit Website content without prior written authorization.
Interfere with the operation, security, or availability of the Website.
Misrepresent your identity or affiliation with another individual or organization.

5. Artist Applications
Artists may apply for participation through the Website.
Submission of an application does not establish any contractual relationship and does not guarantee acceptance into Lit Artist Collective.
Applications are reviewed individually based upon a variety of factors, including but not limited to:
Artistic quality
Portfolio strength
Originality
Professional communication
Alignment with the mission of Lit Artist Collective
Availability for collaboration opportunities
Lit Artist Collective reserves the sole discretion to approve, decline, suspend, or remove any Artist application or participation at any time.
6. Artist Profiles
Artist profiles are created using information voluntarily submitted by participating Artists.
Each Artist is solely responsible for the accuracy, completeness, and legality of information submitted to the Website, including:
Biography
Contact information
Portfolio images
Artwork descriptions
Pricing
Availability
Social media links
External websites
Lit Artist Collective does not independently verify Artist-submitted information and makes no representation regarding its accuracy or completeness.
7. Shop Gallery
The Shop Gallery exists to introduce Collectors to independent Artists and their original Artwork.
Artwork listings, including descriptions, dimensions, pricing, availability, images, and related information, are provided by the individual Artist.
Artwork availability may change without notice. Lit Artist Collective does not guarantee that Artwork displayed on the Website remains available for purchase.
The appearance of Artwork on the Website should not be interpreted as an appraisal, endorsement, authentication, or guarantee of value.
8. Independent Artwork Sales
Lit Artist Collective operates solely as a promotional and discovery platform connecting Artists with prospective Collectors.
Unless expressly stated otherwise:
Lit Artist Collective is not the seller of Artwork.
Artwork purchases occur directly between the Collector and the Artist.
Lit Artist Collective does not process payments.
Lit Artist Collective does not package or ship Artwork.
Lit Artist Collective does not negotiate pricing.
Lit Artist Collective does not manage returns or refunds.
Lit Artist Collective does not provide customer service related to Artwork transactions.
Artists are solely responsible for:
Pricing
Payment collection
Sales tax compliance
Shipping and delivery
Packaging
Insurance
Returns
Refunds
Exchanges
Customer communications
Any agreement relating to the purchase or sale of Artwork exists solely between the Artist and the Collector.
Lit Artist Collective assumes no responsibility or liability for disputes arising from such transactions.
9. Intellectual Property
Website Content
Unless otherwise indicated, all Website content, including branding, logos, graphics, layout, design, written materials, and original promotional content, is owned by or licensed to Lit Artist Collective and is protected by applicable intellectual property laws.
No Website content may be copied, reproduced, republished, distributed, modified, or commercially exploited without prior written permission.
Artist Artwork
Artists retain all ownership and intellectual property rights in their original Artwork.
Displaying Artwork on the Website does not transfer ownership to Lit Artist Collective.
Artists grant Lit Artist Collective a limited, non-exclusive, worldwide, royalty-free license to display, reproduce, and promote submitted Artwork solely for the purpose of operating, promoting, and marketing the Website and the Artist's participation on the platform. By submitting Artwork to Lit Artist Collective for display on the Website, the Artist grants Lit Artist Collective a non-exclusive, worldwide, royalty-free, revocable license to display, reproduce, resize, crop, and any other edits otherwise use the Artwork solely for operating, promoting, and marketing the Website, the Artist's profile, the Shop Gallery, Lit Artist Collective's social media channels, and related promotional materials. Ownership of the Artwork remains with the Artist at all times.
Creator Content
Artists participating in the creator program retain ownership of their original Creator Content.
The rights granted to Lit Artist Collective concerning Creator Content are governed exclusively by the separate Video Release Agreement.
In the event of any conflict between these Terms and the Video Release Agreement regarding Creator Content, the Video Release Agreement shall govern.
10. Copyright & DMCA
Lit Artist Collective respects the intellectual property rights of others.
If you believe content appearing on the Website infringes your copyright, you may submit a written notice including:
Identification of the copyrighted work.
Identification of the allegedly infringing material.
Your contact information.
A statement made in good faith that the disputed use is unauthorized.
A statement made under penalty of perjury that the information provided is accurate.
Your physical or electronic signature.
Upon receipt of a valid notice, Lit Artist Collective will investigate the claim and take appropriate action as required by applicable law.
11. Third-Party Links
The Website may contain links to third-party websites, Artist websites, social media platforms, online portfolios, or other external resources.
These links are provided solely for convenience.
Lit Artist Collective does not own, operate, control, endorse, or assume responsibility for the content, security, privacy practices, products, or services provided by any third-party website.
Accessing third-party websites is entirely at your own risk.
12. Disclaimer
The Website and all Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, Lit Artist Collective disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, or uninterrupted operation.
We do not warrant that the Website will be continuously available, secure, error-free, or free from harmful components.
13. Limitation of Liability
To the fullest extent permitted by law, Lit Artist Collective, its owners, officers, employees, contractors, affiliates, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

Transactions between Artists and Collectors.

Your exclusive remedy for dissatisfaction with the Website is to discontinue its use.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Any legal action arising from or relating to these Terms shall be brought exclusively in a court of competent jurisdiction located within the State of Florida, unless otherwise required by applicable law.

16. General Provisions
Entire Agreement
These Terms, together with any policies, agreements, or documents expressly incorporated by reference, constitute the entire agreement between you and Lit Artist Collective regarding your use of the Website and supersede any prior or contemporaneous understandings, communications, or agreements relating to the Website.
Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
Waiver
No waiver by Lit Artist Collective of any provision of these Terms shall be deemed a continuing waiver or a waiver of any other provision. Failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
Assignment

Lit Artist Collective may assign or transfer its rights and obligations under these Terms without restriction in connection with a merger, acquisition, corporate restructuring, sale of assets, or other business transaction.
Force Majeure
Lit Artist Collective shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, internet outages, cyberattacks, utility failures, pandemics, or other unforeseen events.
Electronic Acceptance
By accessing the Website, submitting an application, creating an account, or otherwise interacting with Lit Artist Collective electronically, you acknowledge and agree that your electronic actions constitute your acceptance of these Terms and satisfy any legal requirement that agreements be in writing.

Section headings are provided solely for convenience and shall not affect the interpretation of these Terms.
Survival
Any provisions that by their nature should survive termination or expiration of these Terms—including, but not limited to, intellectual property rights, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any licenses previously granted—shall remain in effect after termination.
